More than simply comparing costs to a balance sheet and comparing monthly P & L's, our role remains that of compliance surveyor and coach as you look to manage and operate your business.

At the most elementary level, PCMS offers the necessary skill set and expertise to assist in the establishment of necessary procedures to track all relevant and important documents associated with corporate administration. This is an important portion to creating an accounting office that has all necessary information at its fingertips.

Stock Issuances
With regard to the oversight of stock issuances, PCMS shall assist management in serving in the following areas:

  • At the request of the Chief Executive Officer, oversee management's negotiations with investment bankers concerning the final terms, rights, designations and preferences of stock to be issued by the Company, provided, however, that prior action of the Board shall be required to specify the maximum number or value of the shares to be issued.

  • Approve, or recommend to the Board for approval, the final terms, rights, designations and preferences of stock to be issued by the Company, provided, however, that prior action of the Board shall be required to specify the maximum number or value of the shares to be issued.

Writing MDA (Management Discussion Analysis)
As a preface to the financial statements, a company's management will typically spend a few pages talking about the recent year (or quarter) and give a background on the company. While this is not the guts of the financial statements, it does give investors a clearer picture of what the company does. It also points out some key areas where the company has performed well. PCMS can help develop this important portion because of our consistent and knowledgeable relationship based on our expertise in compliance.

Items PCMS will help you to develop are…

  • How candid and accurate are the managers' comments?

  • Does the manager discuss significant financial trends over past couple years?

  • How clear are the manager's comments? If there is confusion perhaps PCMS can help make the document more telling and disclosure oriented.

  • Do you mention potential risks or uncertainties moving forward?

Disclosure is the name of the game. If a company gives a decent amount of information in the MD&A, it's likely that management is being upfront and honest. A good example would be a company that is known to have large portions of outstanding debt but fails to mention anything about it in the MD&A. Withholding important information not only deceives those who read the financial statements, but in extreme cases also makes the company liable for lack of disclosure.
